Terms of Service

These terms are an agreement between you and GoGo LTD. (甲又夠夠有限公司), a company registered in Taiwan, which operates the seedoes application and service. By creating an account or using seedoes, you accept them.
1. What seedoes does
seedoes indexes video footage stored on your own computer so that you can find shots by describing them, organise what you find into projects, and generate storyboards. Your original files stay on your disk; frames and short excerpts are uploaded so they can be described and searched. The Privacy Policy explains this in detail and forms part of these terms.
2. Your account
- You must be at least 18 and able to enter into a contract.
- Provide an email address you actually control, and keep your sign-in details secure. You are responsible for what happens under your account.
- One account is for one person. Tell us if you need seats for a team.
- When you sign up we ask for a display name, your job title and the type of company you work in. What they are used for is explained in the Privacy Policy. You can change them later in the app's settings.
3. Your material and your rights in it
You keep ownership of your footage and everything derived from it. We claim no rights over your material.
To provide the service, you grant us a limited, non-exclusive licence to store, process, and pass to the providers listed in the Privacy Policy the frames and excerpts your computer uploads, together with the descriptions generated from them. This licence exists only so that we can run seedoes for you, and it ends when you delete the material or your account.
4. What you promise about your material
Footage in your possession often belongs to a client. You confirm that, for everything you add to seedoes, you either own it or have permission to have it processed as described in the Privacy Policy — including being sent to the third-party AI providers listed there. If your agreement with a client forbids that, do not add their material.
You also agree not to add material that is unlawful, or that you know infringes someone else's rights.
5. Acceptable use
- Do not attempt to extract, reverse-engineer or copy the parts of the service we do not publish, including our prompts, ranking logic and indexing methods.
- Do not resell or provide the service to others as if it were your own.
- Do not use automated means to place unusual load on the service, or to work around usage allowances.
- Do not use seedoes to build a competing dataset or product from the descriptions it generates.
6. Plans, points and fair use
Each plan gives you an amount of points per month; the current plans and their figures are shown on the plan page before you subscribe. Indexing a video and generating a storyboard both spend points from the same pool. A video costs points according to how many shots we find in it, so a plan's "about N videos" is an estimate, not a guarantee. If indexing fails, the points come back automatically. Storyboard generation spends points whether or not you keep the result, because the cost is incurred either way; a longer storyboard costs more. Searching never spends points.
Free plan. Only the newest 50 videos in your library can be searched. Older ones are kept, not deleted, and become searchable again the moment you upgrade. A free account expires twelve months after it was created (or, if you were subscribed before, twelve months after the subscription ended); after that you can still sign in and see your library, but cannot add videos until you upgrade.
Point packs. Packs can be bought and used only while a Plus, Pro or Max subscription is active. If your subscription ends, unused pack points are frozen, not forfeited, and become usable again when you subscribe again. Pack points do not currently expire. If a pack is refunded, its points are removed from your account.
Labels belong to the account that made them. The same file added under a different account is indexed again and counted again, even on the same computer. Sharing a library between people is a team feature we will offer separately.
We will tell you before reducing an allowance you already rely on.
7. Features marked as beta
Some features are labelled beta or preview. They may change or be withdrawn, and their results may be wrong. Do not rely on seedoes as the only record of anything — it is an index of files you already hold, not a backup of them.
8. Payment
Prices and billing periods are shown before you subscribe. A subscription renews automatically at the end of each period until you cancel; cancelling stops future charges and your plan stays active until the end of the period you have paid for. If your card payment fails, your plan stays active while the payment is retried.
Promotional prices. A price you subscribed at during a promotion stays the same for as long as that subscription continues without interruption. If you cancel and subscribe again after the promotion has ended, the price current at that time applies.
Payments are handled by Paddle, which acts as merchant of record and is the seller of the subscription; Paddle's own terms apply to the transaction. Refunds are covered by our Refund Policy. Prices exclude taxes unless stated; Paddle collects any tax due.
9. AI-generated results
Descriptions, search rankings and storyboards are produced by AI models. They can be inaccurate or unsuitable. Check anything before you rely on it professionally. You are responsible for what you do with the output, including clearing rights in any footage you select.
10. Availability and changes
We may change, suspend or discontinue parts of the service. If a change materially reduces what a paid plan provides, we will email you first and you may cancel and receive a pro-rata refund of any prepaid unused period.
11. Ending the agreement
You may stop using seedoes and delete your account at any time; write to support and we will delete it. We may suspend or close an account that breaches these terms, or where required by law. If we close your account without cause, we will refund any prepaid unused period.
12. Warranties and liability
Except where the law says otherwise, seedoes is provided "as is" and we make no warranty that it will be uninterrupted or error-free.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law. Subject to that, our total liability arising from the service in any twelve month period is limited to the amount you paid us in that period, and we are not liable for lost profits, lost business, or loss of data that you also hold elsewhere.
If labels or files are lost. Your library on seedoes is an index of files you already hold, so keep your own copies: with the app your originals never leave your disk, and on a Business plan the cloud copy of your originals is a convenience, not your only copy. If labels, frames, projects, storyboards or, on a Business plan, uploaded originals are lost or damaged because of something on our side, or because of an event beyond our reasonable control (a failure at a provider listed in the Privacy Policy, a network or power failure, a natural disaster, government action), our responsibility is this: we re-index your footage at our expense, meaning the points needed to upload and label the affected material again are on us, and we restore whatever our backups hold. We do not otherwise compensate for lost data, lost time or lost business. This applies to personal and Business plans alike. Nothing in this paragraph limits liability that cannot be limited by law, or your rights as a consumer.
If you are a consumer, you keep all rights the law gives you, and nothing here takes them away.
13. Governing law
These terms are governed by the laws of Taiwan (R.O.C.). Disputes will be heard by the Taiwan New Taipei District Court as court of first instance, unless consumer protection law entitles you to bring proceedings elsewhere.

1. seedoes 做什麼
seedoes 為你電腦上的影片素材建立索引，讓你可以用描述畫面的方式找到鏡頭、 把找到的收進專案、並生成分鏡。你的原始檔案留在你的硬碟上；影格與短片段會被上傳， 以便描述與搜尋。隱私權政策詳細說明了這一段， 並構成本條款的一部分。
2. 你的帳號
- 你必須年滿 18 歲且有締約能力。
- 請填寫你實際掌控的 email，並妥善保管登入資訊。你的帳號底下發生的事，由你負責。
- 一個帳號給一個人使用。團隊需要多個席次請告訴我們。
- 註冊時我們會請你填顯示名稱、職稱與公司類別，用途寫在隱私權政策裡。之後在 app 的設定頁可以改。
3. 你的素材與你的權利
你的素材與由它衍生的一切，所有權都屬於你。 我們不主張任何權利。
為了提供服務，你授予我們有限的、非專屬的授權，讓我們得以儲存、處理， 並將你電腦上傳的影格與短片段、以及由它們產生的描述，交給隱私權政策中列出的供應商。 這個授權只為了讓 seedoes 能為你運作而存在，在你刪除素材或帳號時終止。
4. 你對素材的保證
導演手上的素材常常屬於客戶。你確認你加進 seedoes 的每一份素材，你都擁有它， 或已取得同意可以依隱私權政策所述的方式處理——包含送交該政策所列的第三方 AI 供應商。 如果你跟客戶的合約禁止這麼做，就不要把那批素材加進來。
你也同意不加入違法的素材，或你明知侵害他人權利的素材。
5. 可接受的使用方式
- 不得嘗試取出、還原或複製我們未公開的部分，包含 prompt、排序邏輯與索引方法。
- 不得把這個服務轉售，或當作自己的產品提供給別人。
- 不得用自動化方式對服務造成異常負載，或規避使用額度。
- 不得利用 seedoes 產生的描述，去建立與之競爭的資料集或產品。
6. 方案、點數與合理使用
每個方案每月給你一定的點數；現行方案與數字在你訂閱前的方案頁上看得到。 建立標籤與生成分鏡用的是同一池點數。一支影片扣幾點，看我們從裡面抓到幾個鏡頭， 所以方案上寫的「約 N 支」是估計，不是保證。標籤失敗，點數會自動退回。 分鏡生成不論你是否保留結果都會扣點，因為成本兩種情況都已經發生； 分鏡越長扣得越多。搜尋永遠不扣點。
免費方案。只搜得到素材庫裡最新的 50 支；更舊的不會刪，升級的那一刻就全部搜得回來。 免費帳號在建立後十二個月到期（曾經訂閱的，從訂閱結束起算十二個月）；到期後仍可登入、看得到素材庫， 但要升級才能再加影片。
點數加購包。只有在 Plus、Pro 或 Max 訂閱中才能購買與使用。訂閱結束時， 沒用完的加購點數會凍結、不會沒收，重新訂閱就能再用。加購點數目前不會過期。加購包退款時， 它的點數會從你的帳號扣回。
標籤屬於建立它的帳號。同一個檔案換另一個帳號加進來，就算在同一台電腦上， 也會重新建立標籤、重新計點。多人共用素材庫是之後另外提供的團隊功能。
若要調降你已經在依賴的額度，我們會事先通知。
7. 標示為測試中的功能
部分功能會標示為測試中或預覽。這些功能可能變動或移除、結果可能有誤。 不要把 seedoes 當作任何東西的唯一紀錄——它是你既有檔案的索引， 不是那些檔案的備份。
8. 付款
價格與計費週期會在你訂閱前顯示。訂閱在每一期結束時自動續訂，直到你取消為止； 取消會停止之後的扣款，你的方案用到已付費的那一期結束。刷卡失敗時，重試期間方案照常使用。
優惠價。你在優惠活動期間訂閱的價格，在該次訂閱持續、沒有中斷的期間維持不變。 若你取消，並在活動結束後重新訂閱，適用當時的價格。
付款由 Paddle 處理，Paddle 以 merchant of record 的身分作為訂閱的 出賣人，該筆交易同時適用 Paddle 自己的條款。退款依我們的 退款政策辦理。除另有標示外，價格未含稅，稅金由 Paddle 收取。
9. AI 產生的結果
描述、搜尋排序與分鏡都是由 AI 模型產生的，可能不準確或不適用。 在專業用途上依賴它之前請自行確認。你要為輸出的使用方式負責， 包含你所選用素材的權利處理。
10. 服務的變動
我們可能變更、暫停或終止服務的一部分。若某項變更實質減少了付費方案的內容， 我們會先寄信通知，你可以取消並就已預付而未使用的期間按比例退款。
11. 終止
你隨時可以停止使用並刪除帳號；寫信給客服我們就會刪除。若帳號違反本條款、 或依法必須處理，我們可能暫停或關閉該帳號。若我們無故關閉你的帳號， 已預付而未使用的期間會退款。
12. 擔保與責任
除法律另有規定外，seedoes 以「現狀」提供，我們不擔保服務不會中斷或完全無誤。
本條款不限制因過失致死或人身傷害、詐欺、以及其他依法不得限制的責任。 在此前提下，因本服務所生的責任，我們在任何十二個月期間的總額以你在該期間支付給我們的 金額為上限，且我們不負責所失利益、營業損失，或你在別處同樣持有之資料的滅失。
標籤或檔案資料毀損時。你在 seedoes 上的素材庫是你既有檔案的索引，請自己保留原檔： 用 app 時原檔本來就不會離開你的硬碟；商用方案的雲端原檔備份是方便，不是你唯一的一份。 若因我們這一方的原因，或不可抗力（例如隱私權政策所列供應商的故障、網路或電力中斷、天災、政府行為）， 導致標籤、影格、專案、分鏡，或商用方案已上傳的原檔毀損或遺失，我們的責任是：由我們負擔重新上傳與 重新建立標籤所需的點數，並就備份保有的部分予以還原；除此之外，我們不就資料遺失、時間損失或營業損失 另行賠償。個人方案與商用方案皆適用。本段不限制依法不得限制的責任，也不減損你身為消費者的權利。
若你是消費者，法律賦予你的權利完全保留，本條款不會剝奪那些權利。
13. 準據法與管轄
本條款以中華民國（台灣）法律為準據法。爭議以臺灣新北地方法院為第一審管轄法院， 但消費者保護法賦予你於他處起訴之權利者，不在此限。
